This page is meant to be clear and practical, but it is a legal agreement. Where a written statement of work or order form conflicts with anything below, the signed contract usually wins for that engagement.
1. Agreement to these terms
By visiting our website, requesting information, signing an order form or statement of work, creating an account, downloading our apps, or using any SonicSpark LLC offering (collectively, the “Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services.
If you enter into an arrangement on behalf of a company or other entity, you represent that you have authority to bind that organization.
2. About SonicSpark
SonicSpark LLC (“SonicSpark,” “we,” “us”) is a limited liability company registered in the State of New Mexico, United States. Our contact details appear at the end of this page.
3. Defined ideas
- Client: a business or individual that purchases custom work, advisory, or professional services.
- End User: anyone who uses our websites, hosted products, APIs, trials, demos, mobile applications, or similar offerings.
- Professional Services: bespoke software, integrations, MVP builds, audits, advisory, and related deliverables outlined in writing.
- Platform: our hosted tools, dashboards, SaaS subscriptions, downloadable clients, and supporting infrastructure.
4. Professional Services
Statements of work
Professional Services generally require an order form, proposal acceptance, statement of work, or similar written acceptance (“SOW”). The SOW specifies scope, milestones, assumptions, acceptance criteria, timelines, fees, and any dependencies on Client materials.
Changes and cooperation
Either party may request changes. We will clarify impact on schedule and fees before proceeding with out-of-scope work. You agree to provide timely access to stakeholders, test data within agreed guidelines, decisions, and legally usable content needed for delivery.
Delivery and acceptance
Unless otherwise stated in the SOW, you have a reasonable review window after delivery. Silence or use in production may count as acceptance when the SOW specifies that mechanism.
Ownership and license
Upon receipt of undisputed fees for the relevant deliverables, SonicSpark assigns to you the custom work product created specifically under the SOW, excluding our pre-existing materials, tooling, generalized know-how, and open-source components, which remain subject to their original licenses.
5. Platform access and subscriptions
Accounts
You must provide accurate registration details and safeguard credentials. Notify us promptly of suspected compromise. SonicSpark may suspend access that appears fraudulent or unsafe.
Plans and renewals
Commercial plans renew according to checkout or contract terms until cancelled. Trials or credits may expire automatically as disclosed at signup.
Acceptable use
You will not misuse the Platform: no unlawful activity; no infringing, harassing, or deceptive content; no probing or bypassing security; no introduction of malware; no mining of other customers’ data; no resale or sublicensing contrary to your agreement.
6. Customer content and privacy
You retain ownership of content you submit. You grant SonicSpark a limited license to host, process, and display it as needed to run the Services, improve reliability, comply with law, or fulfill security obligations. Representation and warranties about your rights to that content rest with you.
Personal data handling is described in our Privacy Policy, incorporated by reference where applicable.
7. Intellectual property
Aside from expressly assigned deliverables, SonicSpark retains all rights in branding, UX patterns, codebase modules not assigned, training materials, and aggregate insights that do not identify you.
Feedback you provide may be implemented without royalty or attribution obligation.
8. Fees, taxes, and invoices
Fees appear in checkout, quotations, or the SOW. Unless stated otherwise, amounts are in U.S. dollars and exclude taxes, duties, or wire fees, which you are responsible for where applicable.
Overdue balances may incur late charges described in your contract and can result in paused work or suspension of Platform access.
9. Third parties
We integrate with infrastructure and payment processors we do not operate. Their terms may apply when you interact with them. SonicSpark is not responsible for outages or acts of third parties outside our control.
10. Confidentiality
Each party agrees to protect the other’s non-public business information using reasonable care and only use it to perform under these Terms or a related contract. Confidentiality survives for five years after disclosure unless a longer period is required by regulation or expressly agreed.
11. Warranties and disclaimers
Except where a SOW expressly states otherwise, the Services are provided “as is” and “as available.” SonicSpark disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
AI-assisted features may produce incorrect or incomplete output. You remain responsible for human review, compliance, and business decisions influenced by automated suggestions.
12. Limitation of liability
To the fullest extent permitted by law, SonicSpark is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from these Terms or the Services.
Except for unpaid fees, infringement of SonicSpark intellectual property by you, indemnity obligations, or liability that cannot be limited under law, SonicSpark’s aggregate liability arising from any related claim will not exceed the greater of USD $500 or amounts you paid to SonicSpark in the twelve months before the event giving rise to the claim.
13. Indemnification
You will defend and indemnify SonicSpark from third-party claims based on your content, misuse of the Services, violation of law, or breach of these Terms.
14. Suspension and termination
We may suspend or terminate access immediately for unlawful activity, abusive behavior, unpaid amounts, or risk to stability or security. You may cease use at any time. Sections intended to endure—such as fees owed, confidentiality, ownership, disclaimers, limitations, and indemnity—remain enforceable afterward.
Refund treatment for prepaid amounts follows our Refund Policy.
15. Compliance and export
You represent that your use complies with sanctions, export controls, antibribery statutes, and other applicable regulations. SonicSpark may restrict access where required.
16. Updates to these Terms
We may revise this page materially; we will post the revised version and refresh the effective date. For Platform subscribers, substantial changes generally take effect at the next renewal or after notice as required by applicable law.
17. Disputes and governing law
These Terms follow the laws of the State of New Mexico, excluding conflict-of-law rules. Before escalating to formal proceedings, the parties agree to attempt good-faith negotiation for thirty days beginning when one party emails the other with a concise dispute summary.
Unless you and SonicSpark agree otherwise in a signed contract, venues for permissible courts or arbitration sit in Albuquerque, New Mexico.
18. Miscellaneous
No joint venture or agency relationship is created unless a separate agreement says so.
Assignment: you may not assign these Terms without our consent; SonicSpark may assign to an affiliate or successor tied to the Services.
Severability: if a clause is invalid, the remainder stays in effect.
Entire agreement: these Terms, the Privacy Policy, your SOW, and checkout terms together form the integrated understanding for the referenced Services.
